By using Stashlete, you agree to our commitment to providing a secure, transparent, and user-friendly giving platform. Our Terms of Use outline the guidelines for accessing and using our services, including donation management, payment processing, and account security. We encourage all users to review these terms to understand their rights and responsibilities while using Stashlete. Giving should be seamless—understanding how it works should be too.

STASHLETE, INC. TERMS OF USE

1. INTRODUCTION; ACCEPTANCE OF TERMS

1.1 Contracting Party

Subject to these Terms of Use (the "Terms"), as amended from time to time, Stashlete, Inc. ("Stashlete," "we," "us," or "our") provides the Stashlete platform through its website at https://stashlete.com and attendant mobile applications (collectively, with any new features and applications, the "Platform") and the Stashlete community and related services (collectively, with the Platform, including any new features and applications, the "Services"). If you are an Organizer (as defined below), Beneficiary (as defined below) to a Fundraiser (as defined below), contributor, or Donor (as defined below) (collectively, a "User") located in the United States, you are contracting with Stashlete, Inc.

1.2 Binding Agreement

BY USING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1.3 Arbitration; Class Action Waiver (U.S. Users Only)

EXCEPT AS OTHERWISE DESCRIBED IN §29 (DISPUTES) BELOW, BY USING THE SERVICES, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. PLEASE REVIEW §29 CAREFULLY.

1.4 Amendments

We may change or modify portions of these Terms at any time in our sole discretion. Where feasible, we will provide at least 30 days' notice of substantive changes via email or in-product notice. Changes required by law may take effect on shorter or no notice. We will post the revised Terms on this page and indicate the effective date. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms. To the extent allowed by law, the English version controls. If you do not accept the revised Terms, you must discontinue use of the Services.

1.5 Contacting Us

Options for contacting us are set out in §33 (Contact Information).

2. DEFINITIONS

"Organizer" means an individual or entity (including a nonprofit) that posts or manages a fundraiser on the Platform.

"Fundraiser" means a fundraising campaign posted to the Platform to accept monetary donations.

"Donation" means a monetary contribution made by a Donor through the Platform to a Fundraiser or to/for the benefit of a Beneficiary.

"Donor" means an individual who contributes a Donation through the Platform.

"Beneficiary" means the individual or organization designated to receive Donations.

"Entity" means a business or nonprofit organization using Stashlete's B2B Services.

"Payment Processor" means our third-party payment processing partners (e.g., Stripe, Inc.; Plaid).

"Transaction Fee" means all fees and charges applicable to each Donation, including the 1% end-donor platform fee set out in §6.1, third-party processing fees, and any applicable administrative costs.

For the avoidance of doubt, Stashlete, Inc. may exercise its rights under these Terms on behalf of the contracting party.

3. ELIGIBILITY

You must be at least 13 years old (or 16 in the European Economic Area). If you are under the age of majority in your jurisdiction, you may only use the Services with the consent of a parent or legal guardian. Certain features may require registration with, and agreement to, third-party terms (e.g., Payment Processors).

4. DESCRIPTION OF SERVICES; STASHLETE'S ROLE

4.1 Administrative Platform

The Services allow Organizers to post Fundraisers to accept Donations from Donors on behalf of Beneficiaries.

4.2 No Broker/No Nonprofit/No Financial Institution

The Services are administrative platforms only. Stashlete is not a broker, agent, financial institution, creditor, or nonprofit corporation. We do not provide financial, legal, tax, or other professional advice. You should consult your advisors before making decisions regarding Fundraisers or Donations. Your use of information on the Services is at your own risk.

4.3 No Guarantee

We do not control the conduct of Users and disclaim all liability for User actions and information to the fullest extent permitted by law. We do not guarantee that any Fundraiser will receive any Donations or achieve any outcome.

5. ROUNDING, REWARDS, AND MATCHING PROGRAM

5.1 Overview

As part of our Services, Stashlete offers a rounding, rewards, and matching program in partnership with Olive Group Ltd. integrating with participating Visa and Mastercard debit and credit cards. By linking an eligible card, you authorize Olive Group Ltd. to receive and process transaction data (e.g., purchase amount, merchant name, location, timestamp) to facilitate rounding, rewards, and matching and to share the results of such processing with Stashlete for the program's operation.

5.2 Eligibility; Data Sharing

Participation is voluntary. Eligible transactions (as determined by the applicable payment network) on enrolled cards will be shared with the program vendor to calculate round-up amounts. Card eligibility may change without liability to you.

5.3 Display; Monthly Charge

Calculated round-up amounts may appear in your transaction feed and aggregate as a monthly total. We will notify you of the Monthly Contribution Amount and, within 48 hours of that notice, initiate a charge to your designated card for the total monthly round-up (plus or minus any applicable administrative adjustment stated in the program terms). The Monthly Contribution Amount is transferred to the contribution recipient.

5.4 Rewards/Matching

Rewards and matching contributions may be triggered by thresholds or promotions from time to time. When you make a qualifying transaction, any cashback rewards will be credited to your program account by the program and either (i) deducted from your Monthly Contribution Amount or (ii) transferred to the contribution recipient. Rewards typically post within 120 days of the qualifying transaction, but we are not liable for delays.

5.5 Offers

Unless otherwise specified, reward calculations are based on the entire amount spent on an enrolled card. Merchants may set maxima or exclude gratuity. Review each offer carefully.

5.6 Third-Party Terms; Disclaimer

By enrolling, you agree to Olive Group Ltd.'s and the applicable card network's terms. Olive Group Ltd. is an independent provider responsible for transaction monitoring, data aggregation, and program facilitation. Stashlete disclaims liability for the operation or unavailability of Olive Group Ltd.'s services.

5.7 Opt-Out

You may stop participation at any time by de-linking your card. This will not reverse previously completed rounding or Donation transactions.

6. FEES AND PRICING

6.1 End-Donor Platform Fee (B2C)

A 1% platform fee applies to all Donations made by end users (B2C donors) through the Platform. This fee is deducted from the total Donation amount prior to remittance to the designated recipient.

Example: A $100 Donation results in $99 remitted to the recipient (less applicable processing fees). The 1% platform fee is non-refundable except as required by law or under any Stashlete-published guarantee.

6.2 Processing Fees

In addition to the 1% platform fee, all transactions are subject to third-party processing fees (currently 2.9% + $0.30 per transaction, subject to change by the Payment Processor).

6.3 B2B Entity Plans (Summary)

Entities using Stashlete's B2B Services select from plan tiers that currently include, at a high level:

  • Spark: Free subscription; 20% entity platform fee per transaction; standard processing fees apply.
  • Pro: Paid monthly subscription (currently $289/month); 1% entity platform fee per transaction; standard processing fees apply.
  • Enterprise: Custom pricing and terms via Sales.

Plan limits (e.g., users, sub-entities, included credits) and available add-ons (e.g., AI + Analytics, seat/sub-entity packs, marketing services, credit packs) are summarized and updated at https://stashlete.com/pricing and are incorporated by reference.

6.4 Billing; Renewal; Cancellation (B2B)

(a) Monthly by Default. Unless an annual plan is purchased, B2B subscriptions are monthly and auto-renew until canceled. You may cancel at any time prior to the next monthly renewal date to avoid future charges.

(b) Annual Plans. Annual plans may be offered; terms, renewal, and early termination (including any applicable fees or non-refundability) will be disclosed at purchase.

(c) Add-Ons & Credits. Add-ons and credit purchases follow the anchor date of the main subscription and are pro-rated to the billing cycle. For annual subscriptions, monthly add-ons align to the annual plan's anchor date as disclosed at purchase.

(d) Taxes. All prices/fees are exclusive of taxes; you are responsible for any applicable taxes, levies, or duties (excluding Stashlete's income tax).

7. ACCESS AND USE

7.1 Your Responsibilities

You are responsible for compliance with all applicable laws in relation to your Fundraiser and use of the Services, for all User Content you submit, and for ensuring raised funds are used for the purposes stated.

7.2 Services Information

Third-party information and content hosted on the Services are provided "as is." We do not guarantee accuracy, completeness, timeliness, or reliability.

8. DONORS

8.1 Risk; Due Diligence

All Donations are at your own risk. Review the Fundraiser to understand use of funds and check for updates.

8.2 Fee Consent

By donating, you consent to deduction of the 1% platform fee and applicable processing fees from your Donation.

8.3 No Tax Receipts by Stashlete

Stashlete is not a charity and does not issue tax receipts. If a qualified nonprofit issues a receipt, it will do so directly under its own rules. Consult your tax advisor regarding deductibility.

8.4 Reports & Misuse

We take reports of fraud and misuse seriously. Use the "Report" function on a Fundraiser to alert our team.

9. ORGANIZERS

By acting as an Organizer, you represent, warrant, and covenant that: (i) all information you provide in connection with a Fundraiser or Beneficiary is accurate, complete, and not misleading and you will post updates as needed; (ii) Donations will be used solely as described; (iii) Donations raised on behalf of a Beneficiary will be given to/spent for that Beneficiary; (iv) adding a Beneficiary relinquishes your control of Donations; (v) you will not infringe others' rights; (vi) you will comply with all applicable laws (including registration and reporting); (vii) you have authority, including required consents, to share third-party personal data with us; and (viii) you will not provide/offer goods or services in exchange for Donations. You authorize Stashlete to share Fundraiser information with Donors, Beneficiaries, and law enforcement/regulators and to assist in investigations.

BY CONTINUING TO USE THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS, INCLUDING THE 1% END-DONOR PLATFORM FEE (§6.1), B2B BILLING/CANCELLATION RULES (§6.4), AND ARBITRATION/CLASS-ACTION WAIVER.
